The firm represents three former physicians in a partnership dispute with Kendall Regional Hospital, an HCA-affiliated South Florida hospital. The physicians, limited partners in the hospital for over 20 years, were squeezed-out of the partnership through a merger with a HCA-affiliated shell entity and rejected the hospital’s cash-out offer for their interests.
MNR has filed a petition seeking an appraisal of the physician’s partnership interests and claims for breach of fiduciary duty against Kendall Regional and its general partner, as well as aiding and abetting and civil conspiracy claims against HCA.
The physician partners, each seeking in excess of $2.5 million, allege that they were improperly removed from the partnership because Kendall Regional is in the process of significant expansions and wanted to remove them before the hospital grew more profitable.
